Hereinafter referred to collectively as the “Parties.”
1. Service Overview :
Digital Audit & Strategy Preparation
Ad Campaign Setup & Optimization
Ad Management & Regular Monitoring
Monthly Performance Report & Insights
One Strategic Consultation per Month
Competitor Analysis & report shareing
Platform Coverage: Facebook, Instagram, WhatsApp
Ad Account Usage Flexibility
Campaigns Included: Up to 4/month (Extra: 2,000 BDT each)
Media Spend Limit: $1,000/month (Extra $1,000 = 1,000 BDT fee)

2. Payment Terms :
2.1 Full Advance Payment: All payments must be made in advance before services commence.
2.2 Monthly Service Charge Payment: The monthly service charge must be paid between the 1st and 5th day of each month.
2.3 Due Limit: No ads will be run beyond the predefined due limit.
2.4 Quarterly Settlement: The account must be fully settled every six months (two quarters).
2.5 Service Suspension for Non-Payment: Failure to make timely payments will result in suspension of services. Social Geek reserves the right to deduct the service charge from any remaining ad balance.
3. Service Delivery & Responsibilities :
3.1 Ad Account Changes: The ad account may be changed due to technical issues or Facebook-related account problems.
3.2 Ad Optimization Time: A minimum 48-72 hours is required for ad optimization after launching a campaign.
3.3 Ad Editing Policy: No edits can be made before 72 hours after launching an ad.
3.4 Targeting Restrictions: Ads will be targeted based on age, gender, and location only.
3.5 Policy Violation Consequences: If the ad account is restricted due to Facebook policy violations, Social Geek will not be held responsible, and no refund will be provided.
3.6 Account Closure Notice: Clients must notify Social Geek at least 1 Month in advance to terminate services.
3.7 Client Ads Account Usage : When ads are run from the client’s own ad account, the client will be fully responsible for dollar funding, business manager access, pixel, and all asset management.
3.8 Agency Ad Account Use: If Social Geek runs ads from our ad account, the client must pay the dollar cost at the rate of 1 USD = 132 BDT (subject to change based on market rate).
4. Reporting Policy :
4.1 Daily Report Collection: Clients will receive daily performance reports one time per day
4.2 Monthly Reports: Monthly performance reports must be collected by the 5th day of the following month.
4.3 Data Retention Policy: Social Geek will retain client data for a maximum of three (3) months. Clients must collect all necessary data within this period. Social Geek will not be liable for data loss after this period.
4.4 Refund of Remaining Ad Balance: Any remaining ad balance must be withdrawn within 30 working days.
4.5 Report Eligibility:
• Service Charge-Based Clients: Eligible for monthly performance reports.
• Dollar-Based Clients: Reports will not be provided
5. Additional Policies :
5.1 Asset Damage Liability: Social Geek will not be responsible for any damage or loss of the client’s business assets, including digital assets, ad accounts, or pixels.
5.2 Post-Service Liability: Social Geek will not be held responsible for any issues or complications arising after the service has been delivered.
5.3 Policy Modification Rights: Social Geek reserves the right to modify or update its policies at any time.
5.4 Policy Compliance: Clients are obligated to comply with all policies set forth by Social Geek.
5.5 Technical Glitches: Social Geek will not be liable for any service interruptions caused by technical glitches, server downtimes, or third-party failures.
5.6 Third-Party Interference: Social Geek will not be responsible for service disruptions caused by Facebook, Instagram, or other third-party platforms.
5.7 Service Suspension Rights: Social Geek reserves the right to suspend services if the client violates any policy or fails to make timely payments.
5.8 Performance Guarantee: Social Geek does not guarantee specific results (ROI, Engagement, Reach) from ad campaigns.
5.9 Confidentiality Policy: Social Geek will maintain the confidentiality of client data and campaign strategies. However, it reserves the right to share data if required by law.
5.10 Account Access Policy: Clients must provide proper access credentials (Ad Manager, Pixel, Business Suite) for smooth campaign execution.
5.11 Refund Policy: Refunds will not be provided in cases of policy violations or service disruptions caused by third parties.
5.12 Complaint & Resolution Policy: Any client complaints will be addressed through a structured dispute resolution process.
5.13 Contract Duration and Validity
This agreement shall remain in full force and effect for a period of three (3) consecutive months from the date of signing. During this tenure, both parties are expected to comply with all terms and conditions.
Upon completion of the initial term, the contract may be renewed or renegotiated based on mutual agreement. Any continuation of service without a formally renewed contract shall be subject to the same terms and conditions unless otherwise agreed in writing.
This clause confirms the binding nature of the agreement and serves as legal acknowledgment that the client has reviewed, understood, and consented to the stipulated terms, including limitations of liability, refund eligibility, policy compliance, and rights reserved by Social Geek
5.14 Service Cancellation Policy: Clients have the flexibility to cancel the service if not satisfied, by providing a minimum of 1 month prior written mail notice. The following conditions will apply:
If the service is cancelled within 15 days of starting, 50% of the monthly service charge will be deducted.
If the service is cancelled after 15 days, 100% of the monthly service charge will be deducted.
6. Liability Limitation
6.1 Performance Guarantee: Social Geek does not guarantee specific ad results but will provide maximum effort and expertise.
6.2 Third-Party Responsibility: Social Geek will not be held liable for disruptions caused by third-party platforms or external service providers.
6.3 Data Loss: Social Geek will not be liable for any loss of data due to technical faults, third-party issues, or client-side mismanagement.
6.4 Suspension of Services: Social Geek reserves the right to suspend services under non-compliance with payment terms or policy violations.
7. Dispute Resolution
7.1 Any disputes will first be attempted to resolve amicably between both parties.
7.2 If unresolved, disputes will be settled under the jurisdiction of Bangladesh’s legal system.
